December 1st IFC, Austin Transit Partnership

Attached is an IFC from my cosponsors and I for the December 1st addendum for revisions to the Austin Transit Partnership’s Articles of Incorporation. (CM Kitchen, Mayor Adler, CM Leslie Pool, CM Vanessa Fuentes). This action is a follow-up to the direction the Council passed in the summer to explore revisions related to the board composition.

The IFC does two things:
1) Provides for two additional Board members. These Community-At-Large members are appointed one by the Council and one by the CapMetro Board and may not be on the City Council or CapMetro Boards.

RATIONALE: The addition of two members will provide much needed assistance to a Board charged with significant responsibility for Project Connect. The workload, including connection with the community, is extensive. Board members serve on ATP, in addition to their work and family responsibilities. The community will benefit from additional members on this Board.

2) Provides basic parameters for the transparency of the Board application, nomination, and selection processes.

RATIONALE: The existing articles are silent as to the process, so each of the two nominating committees to date have had to proceed without the benefit of policy guidelines. ATP is a public body charged with use of taxpayer dollars. Transparency in the application processes for the Board is paramount to building and maintaining trust with the community.

CM Kitchen, thanks for drafting this resolution to expand the ATP board. Adding two new members to that board has been a focus of discussion for a while now, particularly among those most closely focused on Project Connect. I support adding a member appointed by the City Council, and as a member of the Cap Metro board, I support adding a member appointed by that board, too. Having seven board members, rather than five, will make achieving quorum easier; the additional two members will take on a share of the significant responsibilities ATP carries, and will increase diversity of perspective and experience.
